Limited Liability Companies   
 

The Limited Liability Company is a hybrid business entity that combines the most desirable features of a corporation (limited liability) with the income tax advantages of a partnership (pass-through tax treatment).

Advantages of an LLC over an S corporation
  

     S corporations limit ownership to 75 (formerly 35) persons.  An LLC has no limit
No restrictions on the type of character of members of the LLC
You can make tax-free transfers to an LLC upon formation
An LLC can own 100% of the stock of another corporation, whereas an S corporation cannot be a member of an affiliated group
LLC members can get a basis increase for their share of the LLC's liabilities
A member can step up his basis in his share of the LLC property to reflect his outside basis in membership interest

Advantages of an LLC over a Limited Partnership

     An LLC offers absolute limited liability to members whereas in a partnership, one partner, the general partner, has liability exposure.   No member of the LLC has personal liability
LLC's may provide an advantage over Limited Partnerships in the allocation of non-recourse debt
LLC members can participate in management without risking limited liability status.  If a limited partner became involved in day-to-day management, he may lose his limited liability status
An LLC member may be exempt from self-employment taxes on distributions if he does not participate in management and if the entity could have been formed as a Limited Partnership
